These Terms of Service are entered into between you and Ziji Business Limited, a company registered in Hong Kong ("ZijiBusiness", "we", "us", or "our"). For operations within mainland China, services are provided through Ziji Business (Shenzhen) Co. Ltd.
ZijiBusiness provides sourcing and quality control services connecting overseas buyers with Chinese manufacturers. Our services include supplier discovery, quality verification, negotiation support, and export coordination.
Clients are responsible for:
Commission fees (8-12% based on tier) are payable to Ziji Business Limited (Hong Kong) or Ziji Business (Shenzhen) Co. Ltd. (China). Important: Client pays all product costs and manufacturing fees DIRECTLY to suppliers. ZijiBusiness does not handle, process, or hold product payments.
We conduct pre-shipment inspections using AQL standards. No shipment is authorized until the client approves the inspection report. If quality issues are found, we will negotiate rework or refunds on the client's behalf.
ZijiBusiness acts as an intermediary between clients and manufacturers. While we conduct due diligence on suppliers, we are not liable for manufacturer performance, production delays, or product defects. Our liability is limited to the commission fees paid for the specific order.
Clients retain all intellectual property rights to their products. We can assist with NNN agreements and IP protection measures upon request.
We maintain strict confidentiality of all client information, product specifications, and business relationships. We will never share your information with third parties without consent.
Either party may terminate the service relationship with written notice. Fees for work already completed are non-refundable.
These terms are governed by the laws of Hong Kong. Any disputes shall be resolved through arbitration in Hong Kong.
We may update these terms from time to time. Clients will be notified of significant changes. Continued use of our services constitutes acceptance of updated terms.
